Company Box Terms of Use
Article 1 Applicability of Terms of Use
1 These Terms of Use shall apply to an Company Box Exhibitor (defined in Article 2(6)) when
that Company Box Exhibitor uses the Platform Service (defined in Article 2(15)) through the
JV-Campus Platform (defined in Article 2(3)) operated by JV-Campus (defined in Article 2(1)).
2 Company Box Exhibitor is deemed to have consented to these Terms of Use when it accesses
the JV-Campus Platform and applies for the Platform Service.
Article 2 Definitions
(1) JV-Campus
JV-Campus is the operating entity for the JV-Campus Platform. Specifically, the operating
entity for JV-Campus is the University of Tsukuba.
(2) JV-Campus Basic Fee
JV-Campus Basic Fee is the basic fee for the Platform Service that the Company Box
Exhibitor pays to JV-Campus in monthly or annual units in order to use the Platform Service.
(3) JV-Campus Platform
JV-Campus Platform is the domain administered and operated by JV-Campus to provide the
Platform Service.
(4) Company Box
Company Box is the area established on the JV-Campus Platform in order for the Company
Box Exhibitor to allow a User (defined in Article 2(19)) to use Content.
(5) Company Box Exhibitor Applicant
Company Box Exhibitor Applicant is a party that wishes to become an Company Box
Exhibitor.
(6) Company Box Exhibitor
Company Box Exhibitor is a party that consents to these Terms of Use and uses the Company
Box to provide Content to a User via the JV-Campus Platform.
(7) Company Box Exhibitor Platform Service Fee Table
The Company Box Exhibitor Platform Service Fee Table is the fee table separately
established by JV-Campus regarding fees for the Platform Service for the Company Box
Exhibitor.
(8) Company Box Use Fee
Company Box Use Fee is the use fee proportional to the capacity used by the Company Box
Exhibitor in the Company Box.
(9) Content
Content is the lecture footage, lecture materials, and all other information provided or
attempted to be provided to User by the Company Box Exhibitor via the JV-Campus Platform.
(10) Content Service Fee
Content Service Fee is the fee for the use of Content in proportion to the Content Use Fee
defined in the next item.
(11) Content Use Fee
Content Use Fee is the consideration for the use of Content that a User pays to JV-Campus
when the User uses Content via the JV-Campus Platform.
(12) Damage, etc.
Damage, etc. is damage, loss, or expense irrespective of whether they result from a demand
from a third party, and it includes reasonable attorneys’ fees.
(13) Antisocial Forces, etc.
Antisocial Forces, etc. are organized crime groups, organized crime group members, persons
who have been an organized crime group member in the last five years, quasi-members of
organized crime groups, organized crime group affiliated enterprises, corporate racketeers,
etc., political racketeering organizations, criminal organizations specialized in intellectual
crimes, or other similar parties.
(14) Confidential Information
Confidential Information is ideas, know-how, inventions, drawings, photographs,
specifications, data, and all other technical, operational, and business information, and it
includes information such as personal information provided by JV-Campus to the Company
Box Exhibitor and personal information directly provided by a User to the Company Box
Exhibitor.
(15) Platform Service
The Platform Service is the platform service provided by JV-Campus to the User and the
Company Box Exhibitor.
(16) Agreement
The Agreement is the agreement executed between the Company Box Exhibitor and JV-
Campus in order to use the Platform Service and all other agreements (including these Terms
of Use), individually or all collectively.
(17) Platform Service Use Fees
The Platform Service Use Fees are the fees paid by the Company Box Exhibitor to JV-
Campus, and they consist of (i) the JV-Campus Basic Fee, (ii) the Content Service Fee, and
(iii) the Company Box Use Fee.
(18) Officers, etc.
Officers, etc. are officers, employees, service providers, and other persons, etc. with
legitimate authority to use an ID.
(19) User
User is a person who uses Content or a URL or other information via the JV-Campus
Platform.
Article 3 Use Registration
1 Company Box Exhibitor Applicant shall understand and agree to these Terms of Use and
complete the Company Box Exhibitor registration procedure separately established by JV-
Campus.
2 When Company Box Exhibitor Applicant’s application is approved by JV-Campus via a
method separately established by JV-Campus, Company Box Exhibitor Applicant shall become
an Company Box Exhibitor and the Agreement between JV-Campus and Company Box
Exhibitor shall take effect.
3 If JV-Campus determines that one or more of the following items is applicable, it may reject
Company Box Exhibitor Applicant’s application:
(1) Company Box Exhibitor Applicant is already an Company Box Exhibitor;
(2) Company Box Exhibitor Applicant does not satisfy the conditions prescribed in the
Agreement when providing Content, or would risk doing so;
(3) There is an obstacle to the execution of the business of JV-Campus;
(4) Company Box Exhibitor Applicant is suspended from providing Content on the Platform
Service or has been subject to cancellation of the Agreement;
(5) Company Box Exhibitor Applicant is currently neglecting, or is at risk of neglecting,
performance of obligations to JV-Campus (including obligations other than obligations
pursuant to the Agreement);
(6) A false or incorrect statement was made in the application details;
(7) JV-Campus otherwise determines that the application is inappropriate in light of the
intention of the Platform Service.
4 During the registration set forth in Article 3.1, Company Box Exhibitor Applicant shall choose
to either receive the Content Use Fee directly from User, or to receive it through JV-Campus.
Article 4 ID and Password
1 After giving its approval as set forth in Article 3.2, JV-Campus shall issue to Company Box
Exhibitor an ID and password for use of the Platform Service; provided, however, that if an ID
is already registered with JV-Campus, such ID may be used as the ID for using the Company
Box.
2 Only Company Box Exhibitor and Officers, etc. of Company Box Exhibitor may use the ID.
3 Company Box Exhibitor shall store the ID and password issued by JV-Campus with the due
care of a prudent manager.
4 All acts by the Officers, etc. of Company Box Exhibitor carried out using the ID issued by JV-
Campus to Company Box Exhibitor are deemed to be the acts of Company Box Exhibitor. JV-
Campus may deem all operations and requests, etc. made through the ID issued to Company
Box Exhibitor to be operations and requests, etc. made by Company Box Exhibitor itself.
Except for cases in which there are grounds attributable to JV-Campus, Company Box
Exhibitor shall bear responsibility for all operations and requests, etc. made through the ID
issued to it.
5 If Company Box Exhibitor learns that its ID has been used without authorization, Company
Box Exhibitor shall immediately notify JV-Campus. In this event, JV-Campus may take
necessary measures such as temporarily suspending the use of the relevant ID.
Article 5 Notification of Changes
1 In the event that there are changes to the information provided when registering for the Platform
Service, Company Box Exhibitor shall promptly make notification of the changes via the method
prescribed by JV-Campus.
2 Even if Company Box Exhibitor suffers a disadvantage due to a failure to provide notification
as set forth in the previous paragraph, JV-Campus shall bear no liability for it.
Article 6 Payment
1 The Platform Service Use Fees comprise the JV-Campus Basic Fee, the Content Service Fee,
and the Company Box Use Fee, and they are governed by the Company Box Exhibitor Platform
Service Fee Table.
2 Company Box Exhibitor shall pay the JV-Campus Basic Fee and the Company Box Use Fee
calculated in accordance with the Company Box Exhibitor Platform Service Fee Table by the
date separately established by JV-Campus in that fee table, via the payment method separately
agreed to by Company Box Exhibitor and JV-Campus.
3 Company Box Exhibitor or JV-Campus shall receive the Content Use Fee from User in
accordance with the registration details of Company Box Exhibitor. The Content Service Fee
will be handled as follows in accordance with the party that receives the Content Use Fee from
User.
(1) If Company Box Exhibitor receives it from User:
Company Box Exhibitor shall pay JV-Campus the Content Service Fee calculated in
accordance with the Company Box Exhibitor Platform Service Fee Table by the date separately
established by JV-Campus in that fee table, via the payment method separately agreed to by
JV-Campus and Company Box Exhibitor.
(2) If JV-Campus receives it from User:
JV-Campus shall pay Company Box Exhibitor the amount obtained by deducting the Content
Service Fee calculated in accordance with the Company Box Exhibitor Platform Service Fee
Table from the Content Use Fee by the date separately established by JV-Campus in that fee table,
via the payment method separately agreed to by JV-Campus and Company Box Exhibitor.
Article 7 Equipment, etc.
Company Box Exhibitor shall prepare communications devices, software, and other equipment, etc.
necessary to use the Platform Service at its own expense and responsibility. Company Box Exhibitor
shall connect to the Platform Service via the Internet at its own expense and responsibility.
Article 8 Company Box Exhibitor’s Guarantees Company Box
Exhibitor shall guarantee the matters set forth in the following items when it uses the Platform
Service:
(1) Content is beneficial for higher education and is otherwise consistent with the intention of
the Platform Service;
(2) It legally and validly holds the authority necessary to execute and perform the Agreement,
and the copyright and other necessary authorities regarding Content;
(3) Content does not infringe the copyright, patent rights, utility model rights, design rights,
trademark rights, or other intellectual property rights (including trade secrets and other
information protected under the Unfair Competition Prevention Act) or property of JV-
Campus or a third party;
(4) Content will not harm the reputation or credibility, or infringe the privacy, of JV-Campus
or a third party;
(5) If Content includes the personal information of a third party, that does not violate the
Personal Information Protection Act;
(6) Content does not unjustly discriminate against or defame JV-Campus or a third party, or aid
in the unjust discrimination or defamation of a third party;
(7) Content does not include harmful programs such as computer viruses, and it does not
transmit, or include a function for transmission of, such harmful programs;
(8) Content does not include functions that would impede or burden the use or operation of
devices, equipment, or systems, etc. of JV-Campus or a third party;
(9) Content does not include advertisements, which include (but are not limited to) examples
such as the introduction or handling, etc. of in-house services or sale of in-house products
or product monitoring, etc., and which may not be provided as Content in the Company
Box;
(10) Content does not include details that constitute recruitment of workers of Company Box
Exhibitor or any third party (wages, working hours, and other working conditions); and
(11) Content does not otherwise constitute or assist in a crime, violate public policy or laws and
regulations, etc., or risk doing so.
Article 9 Suspension of Provision of Platform Service
1 When conducting maintenance of equipment, etc. for the Platform Service, JV-Campus shall
provide notification to Company Box Exhibitor at least two business days in advance of the
date maintenance is performed. Company Box Exhibitor gives prior consent to temporary
interruption of the Platform Service when maintenance takes place.
2 JV-Campus may temporarily interrupt the Platform Service without prior notification to
Company Box Exhibitor when the circumstances set forth in the following items occur:
(1) Telecommunications become unusable;
(2) Emergency maintenance of equipment, etc. for the Platform Service is conducted;
(3) The Platform Service cannot be provided due to fire or power outage, etc.;
(4) The Platform Service cannot be provided due to a natural disaster such as an earthquake,
volcanic eruption, flood, or tsunami;
(5) The Platform Service cannot be provided due to war, unrest, riot, conflict, or labor dispute,
etc.; or
(6) JV-Campus otherwise determines that temporary interruption of the Platform Service is
necessary for operational or technical reasons.
3 In the event that the Platform Service is temporarily interrupted due to grounds set forth in the
two preceding paragraphs, if the temporary interruption continues for more than five business
days due to grounds attributable to JV-Campus, JV-Campus shall return the Platform Service
Use Fees to Company Box Exhibitor in proportion to the period of the temporary interruption
exceeding five business days.
Article 10 Suspension of Use of Platform Service
1 If JV-Campus determines that there are reasonable grounds falling under any of the following
items, JV-Campus may, without the requirement of any notice, completely or partially suspend
provision of Content provided by Company Box Exhibitor on the Platform Service, or suspend
the use of the Platform Service by Company Box Exhibitor.
(1) Content provided by Company Box Exhibitor breached the warranties set forth in Article 8;
(2) Company Box Exhibitor used the Platform Service in a manner that materially impedes the
use by a party that directly or indirectly uses the Platform Service (including, but not limited
to, another Company Box Exhibitor);
(3) Company Box Exhibitor breached these Terms of Use; or
(4) Other situations that are not appropriate as an Company Box Exhibitor.
2 In the event that the provision of Content on the Platform Service is completely or partially
suspended due to grounds set forth in Article 10.1(1), if JV-Campus is able to confirm that the
breach or suspected breach of Article 8 has been resolved within a reasonable period from the
suspension, JV-Campus shall permit the resumption of the use of the relevant Content on the
Platform Service.
Article 11 Discontinuation of Platform Service
1 JV-Campus may completely or partially discontinue the Platform Service at any time. In that
event, JV-Campus shall notify Company Box Exhibitor in advance using the method determined
to be appropriate by JV-Campus no later than one year before the discontinuation.
2 JV-Campus shall not bear any liability whatsoever for any damage incurred by Company Box
Exhibitor or User or another third party due to it having discontinued the Platform Service
pursuant to the preceding paragraph (including cases in which Company Box Exhibitor received
a claim for compensation of damage from User or another third party).
Article 12 Cancellation of the Agreement
1 If Company Box Exhibitor breached the provisions of these Terms of Use (including the case in
which it breached Article 8), when JV-Campus has made a demand for rectification of such
breach to Company Box Exhibitor setting forth a reasonable period of time and the breach is not
rectified within that period of time, JV-Campus may cancel the Agreement in whole or in part
upon the passage of that period of time.
2 Notwithstanding the preceding paragraph, JV-Campus may immediately cancel the Agreement
in whole or in part without the requirement of any notice or demand if Company Box Exhibitor
falls under any of the following items.
(1) There is a material breach of the provisions of these Terms of Use;
(2) There is a breach of the provisions of these Terms of Use, and it would be difficult to
rectify that breach in light of the nature or circumstances of the breach;
(3) There is a breach of the provisions of these Terms of Use, and it would be difficult to
continue the Agreement even if Company Box Exhibitor rectifies that breach in light of
the nature or circumstances of the breach;
(4) Grounds set forth in Article 3.3 were discovered;
(5) Company Box Exhibitor suspended payments, became unable to pay debts, petitioned for
commencement of bankruptcy proceedings, commencement of civil rehabilitation
proceedings, commencement or corporate reorganization proceedings, or commencement
of special liquidation, became subject to a disposition to suspend transactions from a
clearinghouse, or became subject to a provisional seizure or other provisional order or
disposition of seizure;
(6) Company Box Exhibitor committed an act that violates laws and regulations or public
policy;
(7) Company Box Exhibitor infringed on the intellectual property rights (e.g., patent rights,
copyright, utility model rights, design rights, or trademark rights) of JV-Campus or a third
party;
(8) Company Box Exhibitor harmed the credibility or reputation of JV-Campus or a third
party;
(9) Company Box Exhibitor impeded or obstructed the operation of the Platform Service; or
(10) There are other reasonable grounds to recognized that performance of the Agreement
cannot be continued.
3 If JV-Campus cancelled the Agreement in accordance with the two preceding paragraphs, so that
User is not disadvantaged, Company Box Exhibitor shall take measures to ensure that User does
not incur any disadvantage during the period that Content provided by Company Box Exhibitor
was planned to be made available.
Article 13 Termination
1 Company Box Exhibitor may terminate the Agreement at any time by giving written notice
(including by e-mail) three months in advance. The Platform Service Use Fees that have already
been paid will not be returned in that event.
2 If Company Box Exhibitor has terminated the Agreement in accordance with the preceding
paragraph, Article 12.3 will apply mutatis mutandis.
Article 14 Compensation of Damage
If Company Box Exhibitor inflicted Damage, etc. on JV-Campus as a result of or in relation to
non-performance of its duties, or its representations and warranties being untrue or inaccurate,
pursuant to the Agreement, Company Box Exhibitor shall compensate or indemnify JV-Campus for
such Damage, etc. pursuant to this article.
Article 15 Exemption of Liability
1 The Platform Service will be provided as JV-Campus is able to provide it on an “as-is” basis.
JV-Campus makes no representation or warranty, express or implied, regarding the Platform
Service (including, but not limited to, warranties related to fitness for a particular purpose, title,
marketability, completeness, usability, safety, compatibility, or absence of rights infringements,
with respect to the Platform Service as well as warranties that the Platform Service will be
uninterrupted, free of viruses or other harmful elements, accurate, without error, or trustworthy).
2 Notwithstanding the preceding paragraph, in the event the Platform Service is temporarily
interrupted due to grounds attributable to JV-Campus, if the temporary interruption continues
for more than five business days, regardless of the reason for the suspension of service, JV-
Campus shall return the Platform Service Use Fees to Company Box Exhibitor in proportion to
the period of the temporary interruption exceeding five business days.
Article 16 Attribution of Rights
1 The copyright, patent rights, and other intellectual property rights, and know-how and all other
rights pertaining to the Platform Service and the other various systems and various information
provided and disclosed to Company Box Exhibitor by JV-Campus belong to JV-Campus or a
third party, and Company Box Exhibitor shall not receive transfer of any rights from JV-
Campus or a third party pursuant to these Terms of Use or authorization to use or exploit other
than as prescribed in these Terms of Use.
2 JV-Campus may use the copyright (including the rights stipulated in Article 27 and Article 28
of the Copyright Act), patent rights, and other intellectual property rights, and know-how and
all other rights for the Content provided by Company Box Exhibitor for the Platform Service,
to the extent required for JV-Campus to provide the Platform Service to User via public
transmission as a public transmitter.
3 Besides as prescribed in the preceding paragraph, except in cases otherwise provided for in
these Terms of Use or cases in which there is an individual agreement, JV-Campus shall not
receive transfer from Company Box Exhibitor or a third party of, or authorization to use or
exploit, the copyright (including the rights stipulated in Article 27 and Article 28 of the
Copyright Act), patent rights, and other intellectual property rights, and know-how and all other
rights for the Content provided by Company Box Exhibitor for the Platform Service.
4 Exclusively for the purpose of the provision, operation, and academic use of the Platform
Service and videos, and explaining or reporting on the Platform Service in forums, etc.,
Company Box Exhibitor shall authorize JV-Campus to use, free of charge, all or part of the
Content provided by Company Box Exhibitor and to edit or alter Content for that use; provided,
however, that JV-Campus may not make alterations that compromise the intention of Content
when altering it.
Article 17 Disputes by Third Parties Pertaining to Intellectual Property Rights
If a dispute has arisen with a third party on the grounds that a video provided by Company Box
Exhibitor infringes intellectual property rights, Company Box Exhibitor shall resolve that at its own
liability and expense, and shall not inconvenience JV-Campus in any way. In the event that JV-
Campus has incurred damage, Company Box Exhibitor shall indemnify that damage.
Article 18 Confidentiality
1 Company Box Exhibitor shall store Confidential Information disclosed by JV-Campus,
regardless of whether orally or in writing, with the due care of a prudent manager, and shall
not use it for any purpose other than providing Content on the Platform Service, or disclose or
divulge it to a third party, without the prior written approval of JV-Campus.
2 Notwithstanding the provisions of the preceding paragraph, Confidential Information does not
include information that falls under any of the following items:
(1) Information that was publicly known due to grounds not attributable to Company Box
Exhibitor before it is disclosed or learned;
(2) Information that Company Box Exhibitor already held before it is disclosed or learned;
(3) Information that became publicly known due to grounds not attributable to Company Box
Exhibitor after it was disclosed or learned;
(4) Information that Company Box Exhibitor learned through its own development without
using Confidential Information after it was disclosed or learned; and
(5) Information that Company Box Exhibitor legally learned from a duly-authorized third party
without bearing a duty to maintain confidentiality after it was disclosed or learned.
3 If Company Box Exhibitor disclosed Confidential Information to its officers or employees or
to a third party, it shall impose a duty at least equal to its own duty to maintain confidentiality
prescribed in these Terms of Use on such officers, employees, or third party, and shall take
measures necessary to ensure that such officers or employees (including those who have retired
or resigned) or third party do not breach that duty. Furthermore, in the event that Company Box
Exhibitor discloses Confidential Information to a third party in accordance with the provisions
of the preceding paragraph, and that third party breaches that duty inflicts damage on JV-
Campus, Company Box Exhibitor shall compensate for all damage suffered by JV-Campus.
4 Company Box Exhibitor may reproduce all or part of Confidential Information only to the
extent that is deemed necessary for the purpose of providing Content on the Platform Service,
and that is the minimum extent necessary.
5 When the Agreement ends or is cancelled or terminated, Company Box Exhibitor shall
promptly return Confidential Information (including reproduced Confidential Information) to
JV-Campus or destroy it in accordance with JV-Campus’ instructions.
Article 19 Exclusion of Antisocial Forces
1 Company Box Exhibitor affirms and warrants that it does not fall under the definition of
Antisocial Forces, etc. or any of the following items, and will not do so in the future:
(1) Having a relationship in which it can be found that Antisocial Forces, etc. control
management;
(2) Having a relationship in which it can be found that Antisocial Forces, etc. are substantively
involved in management;
(3) Having a relationship in which it can be found that Antisocial Forces, etc. are improperly
being used for illicit gains, for itself or for a third party, or harming a third party, etc.; or
(4) Having a relationship in which it can be found that there is involvement such as providing
funds, etc. or support to Antisocial Forces, etc. despite knowing they are organized crime
group members, etc.
2 Company Box Exhibitor affirms and warrants that actions that fall under the following items
will not be taken by itself or by using a third party:
(1) Making violent demands;
(2) Making unreasonable demands beyond legal entitlement;
(3) Using intimidating words or actions or violence in relation to transactions;
(4) Damaging the credibility of the other party or obstructing the other party’s business by
spreading rumors, using deception, or using force; or
(5) Other actions equivalent to the preceding items.
3 In the event that Company Box Exhibitor breaches this article, JV-Campus may immediately
cancel the Agreement without the requirement of a demand or other procedure.
4 Even in the event that Company Box Exhibitor suffers damage as a result of cancellation
pursuant to this article, JV-Campus shall not bear liability for compensation of that damage.
JV-Campus may also seek compensation of damage from Company Box Exhibitor for damage
it suffers as a result of that cancellation.
Article 20 Compliance with Laws and Regulations, etc.
In addition to following the provisions of these Terms of Use, etc., Company Box Exhibitor shall
comply with related laws and regulations, etc.
Article 21 Assignment of Rights and Duties
1 Company Box Exhibitor may not assign, transfer, or devolve to a third party, or create a
security interest over or dispose of in any way, its status as a party to the Agreement or all or
part of the rights and duties pursuant to the Agreement without the prior written approval of
JV-Campus.
2 JV-Campus may assign (including general succession) its status as a party to the Agreement or
all or part of the rights and duties pursuant to the Agreement, and Company Box Exhibitor shall
approve of such assignment in advance. In that event, JV-Campus shall notify Company Box
Exhibitor of the assignee and the assignment date by an appropriate method.
Article 22 Amendment to These Terms of Use
1 JV-Campus may amend these Terms of Use in the event that it is consistent with the general
benefit of Company Box Exhibitor or JV-Campus determines it to be reasonable based on
consideration of the purpose of these Terms of Use, the necessity of the amendment, and the
suitability of the amended content, etc.
2 When amending these Terms of Use, JV-Campus shall notify Company Box Exhibitor by
posting the details and effective date of the amendment on the Terms of Use page of
https://www.jv-campus.org/en/providers/company-box-terms-of-use/.
Article 23 Severability
In the event that any article, provision, or part thereof of these Terms of Use is held to be void or
unenforceable, the remaining articles, provisions, or parts thereof of these Terms of Use shall continue
in full force and effect without becoming void or unenforceable.
Article 24 Language
The official text of these Terms of Use is in Japanese. Even in the event that translations of these
Terms of Use are created in other languages for reference purposes, only the official Japanese text
shall have legal effect. Translations in other languages shall have no effect whatsoever.
Article 25 Exclusive Jurisdiction
The Tokyo District Court shall have exclusive jurisdiction as the agreed court of first instance if
litigation between Company Box Exhibitor and JV-Campus becomes necessary.
Article 26 Governing Law
These Terms of Use are governed by and construed in accordance with the laws of Japan.
